Zurich, Switzerland — Apostrophy is pleased to announce a significant milestone in our mission to deliver true data sovereignty. We have executed a Non-Binding Term Sheet and Exclusivity Agreement with Milton Capital Plc, a cash shell listed on the Main Market of the London Stock Exchange, regarding a potential reverse takeover (RTO) transaction.

This proposed transaction represents a major step forward for our technology platform. 

Upon successful completion, the transaction will transition Apostrophy into a publicly traded company, providing direct access to public capital markets to accelerate our global business growth plans.

Unifying Privacy-Hardened Hardware and Software

Apostrophy is a related company to Punkt Tronics AG (Punkt.), the premium Swiss hardware manufacturer wholly owned by technology entrepreneur Petter Neby. As a core component of this strategic expansion, Apostrophy will hold the option to acquire all telephony assets of Punkt.

By unifying Punkt.’s design-forward hardware with Apostrophy’s data-sovereign operating software (AphyOS), the transaction will position the combined entity as a world-leading technology brand. Our unified platform is engineered from the ground up to give consumers and enterprise clients absolute confidence and control over their digital perimeters, ensuring that systems and data remain protected under a secure European legal architecture.

Executive Leadership and Deal Structure

The exclusivity period extends until November 30th, to allow for the completion of detailed technical, legal, and financial due diligence, alongside the negotiation of a definitive Share Purchase Agreement (SPA). If the transaction proceeds, the consideration payable to Apostrophy shareholders will be entirely in the form of ordinary shares in the public company.

In accordance with the UK Listing Rules for reverse takeovers, trading in Milton Capital Plc shares on the London Stock Exchange has been temporarily suspended pending the publication of the official re-admission documentation.
